Dr. KING Roger

Independent Non-executive Director, Sincere Watch (Hong Kong) Ltd.

Roger King was a commissioned officer in the United States Navy (active duty between1963-1966) achieving the rank of Lieutenant.

Between the years of 1966 and 1970, Mr. King was engaged in computer research (parallel processing and content addressable memory) at Bell Telephone Laboratories, a wholly owned subsidiary of American Telephone and Telegraph Company, at their Whippany Military Research Lab in New Jersey, USA. From 1970 to 1974, John Diebold & Associates (USA) employed him as a management consultant in the field of automation. Notable projects were Neiman Marcus, National Life of Nashville Tennessee and the Jarman Group, owners of many well knew high fashion women department stores though out United States.

In 1974, Roger King founded Oriental Data Systems Limited in New York as part of the CY Tung Group of Companies. In 1975, Mr. King moved the operation to Hong Kong and the company became the exclusive distributors for TRW’s Datacom Division and Univac a division of Sperry Corporation. Following the merger of Oriental Data Systems and System-Pro Business Computer Solutions in May 1989, he became the Executive Chairman of its holding company—ODS System-Pro Holdings Limited. By the time the Company was sold to Jardine Pacific in 1996, ODS System-Pro was Hong Kong’s largest reseller of personal computer and related services, employing more than 600 professionals. Much of the company’s success is attributable to its Mergers and Acquisitions activities – a total of 10 transactions between 1989 and 1995.

In addition to his role at the ODS Group, he concurrently held numerous executive positions within the Tung Group. Mr. King was the Chief Executive of EuroAsia Shipyard, Hong Kong’s only shipyard to construct off-shore oil drilling rigs, employing more than 1,500 skilled workers – including more than 20 expatriate technicians from United States and Europe. Concurrently, he was responsible for the Group’s oil and gas activities including Houlder Offshore Limited, largest offshore contract oil drilling company in the UK sector of the North Sea. In 1983, Mr. King was the first individual to establish a joint venture between a foreign entity and the Chinese National Offshore Oil Company, CNOOC, for offshore drilling in the South China Sea. Between 1985 and 1987, he served as Managing Director and Chief Operating Officer of the Group’s publicly listed company, Orient Overseas Holdings Limited (now Orient Overseas International Limited), one of world’s largest shipboard container operators with annual revenue in excess of US$3 Billion, overseeing its financial restructuring. He remains on the board of OOIL.

May 1995, Mr. King joined the board of Arrow Electronics, Incorporation listed on the New York Stock Exchange. The company remains as one of the world’s largest electronic component distributors with an annual turnover in excess of US$13 Billion. May 1997, Mr. King joined the board of SaSa International Holdings Limited, a listed company on the Hong Kong Stock Exchange with an annual sale of more than HK$1.3 billion. SaSa is the largest cosmetics discount chain in Asia with over 1,500 employees and 60 outlets throughout Asia. In August 1999, Mr. King agreed to service for a period of three years as the President and the Chief Executive Officer of SaSa Group to oversee its management modernization efforts. Mr. King currently serves as an Independent Non-executive Directors to Sincere Watch (Hong Kong) Limited, listed on Hong Kong Stock Exchange and TNT of Netherlands, a €10 billion mail and express delivery company, as a member of their Supervisory Board.

Roger King serves or has served in several committees including the American Bureau of Shipping (Technical Committee); Det Norske Veritias Hong Kong Committee; Hong Kong Government’s Oil Support Advisory Committee; Hong Kong Baptist College, Council Member; University of Science and Technology of Hong Kong, Council Member 1998-2004); Hong Kong General Chamber of Commerce (China Committee); The Friends of the Museum of Art (Vice Chairman) and the Hong Kong Management Association, Council Member; Harvard Business School Association of Hong Kong; President (1992-1993), Chairman (1994-1995), Director (1996–present); Chinese People’s Political Consultative Conference – Zhejiang Province, Standing Committee Member (1985 - present); Guest Professor, Zhejiang University; Honorary Consul for the Republic of Latvia for HKSAR (2002 – present).

Mr. King is a graduate of the University of Michigan with a Bachelor Degree in Electrical Engineering (1963) and New York University with a Master Degree in Electrical Engineering (1967) – a coop program between New York University and Bell Telephone Labs. He completed the Advanced Management Program at the Harvard University Graduate School of Business Administration in 1987. He was a member of Eta Kappa Nu, the National Honorary Society for Electrical Engineers. Since September 2002, Mr. King has pursued a PhD degree in Finance at the Hong Kong University of Science and Technology. His field of research is in Corporate Finance with emphasis on Family Businesses and Corporate Governance. His expected completion date is August of 2006.

Mr. King, born on 23rd of October 1940 in New York City, is married to Alice Chee-ping Tung and has three grown children and seven grandchildren. (June 13, 2006)
